These Vendor Terms & Conditions (“Vendor Terms”) govern the registration, listing, advertising, promotion, verification, and use of ShaadiAffair.com (“ShaadiAffair”, “we”, “us”, or “our”) by any business, professional, service provider, company, individual, or other entity registering as a vendor (“Vendor”, “you”, or “your”).

By submitting a Vendor registration form, purchasing a paid package, activating or maintaining a Vendor profile, or otherwise using the Vendor features of ShaadiAffair.com, you acknowledge that you have read, understood, and agreed to these Vendor Terms.

If you do not agree with these Vendor Terms, you must not register or maintain a Vendor listing on ShaadiAffair.

1. NATURE OF SHAADIAFFAIR

ShaadiAffair.com is an online wedding vendor directory, discovery, and promotional platform.

ShaadiAffair provides Vendors with an online presence through which they may display information about their business, services, portfolio, contact details, policies, and other permitted content.

ShaadiAffair does not itself provide wedding or event services.

ShaadiAffair is not a:

  • wedding planner;
  • wedding service provider;
  • booking agent;
  • Vendor's employee;
  • Vendor's representative;
  • payment collection agent; or
  • party to any agreement between a Vendor and Customer,

unless expressly agreed otherwise in writing for a specific service.

2. INDEPENDENT VENDOR STATUS

The Vendor operates independently from ShaadiAffair.

Nothing in these Vendor Terms creates a partnership, joint venture, employment relationship, franchise, agency, fiduciary relationship, or other legal relationship between ShaadiAffair and the Vendor beyond the Vendor's use or purchase of the applicable platform services.

The Vendor has no authority to:

  • represent that it is an employee or agent of ShaadiAffair;
  • enter into contracts on behalf of ShaadiAffair;
  • make promises or guarantees on behalf of ShaadiAffair; or
  • represent that ShaadiAffair guarantees or endorses the Vendor's services.

3. VENDOR REGISTRATION

To register, the Vendor may be required to provide information including:

  • business or trading name;
  • owner or authorized representative details;
  • business category;
  • contact information;
  • business location;
  • service areas;
  • services offered;
  • pricing or pricing ranges, where applicable;
  • portfolio information;
  • applicable booking policies;
  • cancellation and refund policies;
  • payment information where required;
  • identification or business documents where applicable; and
  • other information reasonably required by ShaadiAffair.

The Vendor represents that the information submitted is true, accurate, current, complete, and not misleading.

The Vendor must promptly update information that becomes inaccurate or outdated.

4. AUTHORITY TO REGISTER

The person submitting a Vendor registration confirms that they:

  1. are the Vendor; or
  2. are authorized to act on behalf of the Vendor.

If a person registers a business without proper authority, that person may be responsible for the consequences of the unauthorized registration.

5. VENDOR PROFILE

A Vendor may create or maintain a profile containing information such as:

  • business description;
  • services;
  • photographs;
  • videos;
  • portfolio;
  • pricing;
  • contact details;
  • service locations;
  • booking information;
  • cancellation policies;
  • promotional information; and
  • other permitted business information.

The Vendor is responsible for ensuring that its profile information remains accurate and does not contain misleading claims.

ShaadiAffair may format, resize, reorganize, categorize, or technically modify submitted content to display it appropriately on the platform without changing its substantive meaning.

6. VENDOR CONTENT AND INTELLECTUAL PROPERTY

The Vendor retains ownership of photographs, videos, logos, descriptions, trademarks, and other content supplied by the Vendor, subject to applicable third-party rights.

The Vendor represents and warrants that it has all necessary rights, permissions, licenses, and consents required to submit and display such content on ShaadiAffair.

The Vendor grants ShaadiAffair a non-exclusive, royalty-free, worldwide license to host, reproduce, display, format, distribute, and use Vendor-submitted content for purposes reasonably connected with:

  • operating the Vendor's profile;
  • displaying the Vendor on ShaadiAffair;
  • promoting the Vendor's listing;
  • marketing ShaadiAffair;
  • advertising ShaadiAffair; and
  • operating and improving the platform.

This license continues for as long as reasonably necessary for these purposes, including where copies may remain temporarily in backups, caches, archives, or marketing materials.

7. PAID LISTINGS AND PROMOTIONAL PACKAGES

ShaadiAffair may offer different paid Vendor packages providing additional visibility, placement, profile features, promotional exposure, or other benefits.

The applicable package description will specify the relevant benefits, duration, pricing, and other applicable terms.

Payment for a promotional package means that the Vendor has purchased the applicable advertising or promotional service.

Paid placement does not mean that ShaadiAffair:

  • recommends the Vendor;
  • considers the Vendor to be the best;
  • considers the Vendor to be preferred;
  • guarantees the Vendor;
  • endorses the Vendor;
  • guarantees service quality;
  • guarantees bookings;
  • guarantees customer enquiries; or
  • guarantees business results.

ShaadiAffair may determine the presentation, design, placement, rotation, availability, and technical operation of promotional features.

8. PAID PACKAGE FEES

The Vendor agrees to pay the applicable fees for the selected package.

Fees, taxes, package duration, renewal terms, and applicable benefits will be communicated before purchase.

Unless otherwise expressly stated in the applicable package terms or required by applicable law, fees for an activated paid package are non-refundable.

A Vendor's failure to receive enquiries, bookings, leads, revenue, or a particular commercial result does not by itself entitle the Vendor to a refund.

9. BOOKING ARRANGEMENTS ARE BETWEEN VENDOR AND CUSTOMER

The Vendor acknowledges that ShaadiAffair does not become a party to any booking merely because the Customer discovered or contacted the Vendor through ShaadiAffair.

The Vendor is solely responsible for:

  • responding to enquiries;
  • providing quotations;
  • negotiating terms;
  • accepting or declining bookings;
  • collecting booking amounts;
  • issuing booking acknowledgments;
  • providing services;
  • handling cancellations;
  • processing refunds;
  • rescheduling;
  • resolving service complaints; and
  • completing the agreed services.

All such matters are between the Vendor and Customer.

10. MANDATORY BOOKING POLICY

Each Vendor must provide clear booking terms applicable to its services.

The Vendor must provide the information requested in the ShaadiAffair Vendor registration form, which may include:

Booking Amount:
The percentage or amount required to confirm a booking.

Booking Acknowledgment:
The Vendor must confirm that it will provide the Customer with a booking acknowledgment after accepting a booking.

Acknowledgment Format:
The Vendor may select the permitted method, such as:

  • Written;
  • Electronic;
  • Email;
  • WhatsApp; or
  • another method approved by ShaadiAffair.

The Vendor is responsible for actually providing the acknowledgment in accordance with the information submitted during registration.

11. BOOKING ACKNOWLEDGMENT

After accepting a booking, the Vendor should provide the Customer with a written or electronic booking acknowledgment.

Where applicable, the acknowledgment should contain:

  • Customer name;
  • event date;
  • event time;
  • event location or venue;
  • services agreed;
  • total service cost;
  • booking amount received;
  • balance payable;
  • cancellation and refund policy;
  • rescheduling terms, if applicable; and
  • any other material terms agreed between the Vendor and Customer.

The Vendor should retain appropriate records of the booking acknowledgment and payment received.

ShaadiAffair does not issue, approve, authenticate, or guarantee the Vendor's booking acknowledgment.

12. CANCELLATION AND REFUND POLICY

The Vendor must clearly communicate its cancellation and refund policy to Customers before accepting a booking or booking payment.

The Vendor is solely responsible for:

  • determining its cancellation terms;
  • communicating those terms;
  • applying those terms;
  • processing refunds where applicable; and
  • resolving disputes concerning cancellation or refunds.

ShaadiAffair does not determine the Vendor's cancellation policy and does not guarantee that a refund will be provided.

13. VENDOR SERVICE RESPONSIBILITY

The Vendor is solely responsible for the services it provides to Customers.

The Vendor is responsible for ensuring that services are delivered in accordance with the agreement made directly with the Customer.

Any complaint concerning:

  • service quality;
  • delays;
  • non-performance;
  • cancellation;
  • refund;
  • pricing;
  • availability;
  • damages;
  • loss;
  • negligence;
  • misconduct; or
  • other Vendor-related matters

must be addressed primarily between the Vendor and Customer.

14. PRICING AND SERVICE INFORMATION

Vendors must provide accurate information about their services and pricing.

A Vendor must not intentionally:

  • advertise materially false prices;
  • conceal mandatory charges;
  • make misleading service claims;
  • misrepresent availability;
  • advertise services it does not provide; or
  • use deceptive information to attract Customers.

Where pricing is subject to change, the Vendor should clearly communicate the applicable pricing to the Customer before accepting a booking.

15. VENDOR VERIFICATION

Where ShaadiAffair provides a paid or free Vendor verification service, the Vendor may be required to submit specified information or documentation.

Verification is limited to the information, documents, or criteria specifically identified by ShaadiAffair as part of the verification process.

A verification badge or status does not mean:

  • ShaadiAffair recommends the Vendor;
  • ShaadiAffair endorses the Vendor;
  • ShaadiAffair guarantees the Vendor;
  • ShaadiAffair guarantees service quality;
  • ShaadiAffair guarantees future performance; or
  • the Vendor is free from complaints or disputes.

ShaadiAffair may suspend, remove, or allow a verification status to expire in accordance with its verification policy.

16. NO GUARANTEE OF BOOKINGS OR BUSINESS RESULTS

ShaadiAffair does not guarantee that a Vendor will receive:

  • enquiries;
  • leads;
  • bookings;
  • sales;
  • revenue;
  • website traffic;
  • calls;
  • messages; or
  • any specific commercial result.

The Vendor acknowledges that advertising and directory exposure do not guarantee customer demand.

17. CUSTOMER COMMUNICATION

Vendors are responsible for communicating accurately and professionally with Customers.

Vendors should maintain appropriate records of material communications relating to bookings.

Vendors must not knowingly provide false or misleading information to Customers.

18. CUSTOMER DATA

Where ShaadiAffair provides a Customer enquiry or contact information to a Vendor, the Vendor must use that information only for legitimate purposes connected with the enquiry or requested service.

The Vendor must handle Customer personal information in accordance with applicable privacy and data-protection laws.

The Vendor must not unlawfully sell, distribute, publish, or misuse Customer information.

19. DIRECT DEALINGS WITH CUSTOMERS

The Vendor acknowledges that Customers may contact the Vendor directly through information displayed on the Vendor's profile.

The Vendor is responsible for its own communications, quotations, agreements, payments, and services.

The Vendor must not represent to a Customer that ShaadiAffair is responsible for the Vendor's service or booking.

20. PROHIBITED VENDOR CONDUCT

The following activities are prohibited:

  • fake or duplicate business profiles;
  • impersonation;
  • fraudulent information;
  • fake reviews;
  • artificial engagement;
  • bots or automated manipulation;
  • spam;
  • unsolicited bulk messaging;
  • misleading pricing;
  • false claims;
  • unauthorized use of another person's photographs or content;
  • copyright infringement;
  • trademark infringement;
  • harassment;
  • abusive conduct;
  • illegal services;
  • unauthorized scraping;
  • attempts to manipulate platform rankings;
  • keyword stuffing or SEO manipulation;
  • attempts to circumvent platform restrictions; and
  • any unlawful activity.

21. REVIEWS AND CUSTOMER FEEDBACK

Vendors must not create, purchase, manipulate, or arrange fake reviews or ratings.

Vendors must not pressure Customers into providing misleading reviews.

ShaadiAffair may moderate or remove reviews or other content in accordance with its policies and applicable law.

22. COMPLIANCE WITH LAW

The Vendor is solely responsible for complying with all laws, regulations, licenses, registrations, permits, tax obligations, professional requirements, consumer obligations, advertising requirements, and other legal requirements applicable to its business and services.

ShaadiAffair does not provide legal, tax, licensing, accounting, or regulatory advice to Vendors.

23. INSURANCE AND BUSINESS RESPONSIBILITY

The Vendor is responsible for obtaining any insurance, licenses, permits, registrations, or other protections required or appropriate for its business.

ShaadiAffair does not provide insurance coverage for Vendor services, Customer bookings, property damage, accidents, cancellations, or other Vendor-related risks.

24. COMPLAINTS AND REPORTS

ShaadiAffair may receive complaints concerning Vendors.

ShaadiAffair may review information available to it and may take platform-level action where appropriate, including:

  • requesting clarification;
  • requesting documentation;
  • temporarily restricting a profile;
  • removing content;
  • suspending a listing; or
  • permanently removing a Vendor.

ShaadiAffair is not required to resolve the underlying contractual or financial dispute between the Vendor and Customer.

25. SUSPENSION OR REMOVAL

ShaadiAffair may suspend, restrict, downgrade, or remove a Vendor profile where it reasonably believes that:

  • these Vendor Terms have been violated;
  • information provided is materially false or misleading;
  • the Vendor has engaged in fraudulent or unlawful conduct;
  • the Vendor presents a significant platform or customer risk;
  • the Vendor has misused the platform;
  • the Vendor has infringed third-party rights; or
  • action is otherwise reasonably necessary to protect the platform, users, Vendors, or comply with applicable law.

Where circumstances reasonably require immediate action, ShaadiAffair may take action without prior notice.

26. EFFECT OF REMOVAL

Removal or suspension of a Vendor profile does not cancel or transfer any agreement between the Vendor and a Customer.

The Vendor remains responsible for its existing obligations to Customers.

Except where required by applicable law or expressly stated in the applicable package terms, suspension or removal of a Vendor profile does not automatically create an entitlement to a refund of paid promotional fees.

27. INDEMNIFICATION

To the extent permitted by applicable law, the Vendor agrees to indemnify and hold harmless ShaadiAffair, its owners, directors, officers, employees, representatives, and affiliates from claims, losses, liabilities, damages, costs, and reasonable expenses arising from or relating to:

  • the Vendor's services;
  • the Vendor's agreement or dealings with Customers;
  • Vendor negligence or misconduct;
  • Vendor fraud;
  • inaccurate or misleading Vendor information;
  • violation of applicable law by the Vendor;
  • infringement of third-party intellectual property rights;
  • unauthorized Vendor content; or
  • breach of these Vendor Terms.

The scope and enforceability of this provision are subject to applicable law.

28. LIMITATION OF SHAADIAFFAIR'S ROLE

To the maximum extent permitted by applicable law, ShaadiAffair's role is limited to providing the directory, discovery, communication, listing, and promotional platform.

ShaadiAffair does not control the Vendor's business or services and does not supervise the Vendor's performance for Customers.

Nothing in these Vendor Terms excludes or limits any liability or responsibility that cannot legally be excluded or limited under applicable law.

29. PLATFORM AVAILABILITY

ShaadiAffair does not guarantee uninterrupted or error-free operation of the platform.

Features, placement, design, algorithms, search functionality, technical systems, and promotional formats may be modified, suspended, or discontinued as reasonably required to operate the platform.

30. CHANGES TO VENDOR TERMS

ShaadiAffair may update these Vendor Terms from time to time.

Updated terms will be published on the website or otherwise communicated to Vendors where appropriate.

Where continued use of the platform constitutes acceptance of updated terms, such acceptance will apply to the extent permitted by applicable law.

31. GOVERNING LAW

These Vendor Terms are governed by the laws of India.

Subject to mandatory rights and remedies under applicable law, disputes concerning these Vendor Terms or the Vendor's relationship with ShaadiAffair shall be subject to the jurisdiction of the courts having appropriate jurisdiction in:

32. SEVERABILITY

If any provision of these Vendor Terms is held to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

33. ENTIRE AGREEMENT

These Vendor Terms, the Vendor registration form, applicable paid package terms, verification terms, Privacy Policy, and any other documents expressly incorporated into them constitute the terms governing the Vendor's relationship with ShaadiAffair.

If there is a conflict between documents, the applicable order of precedence will be determined by ShaadiAffair or specified in the relevant package or agreement.

34. VENDOR ACKNOWLEDGMENT

By registering or continuing to maintain a Vendor profile on ShaadiAffair, the Vendor confirms that:

☐ I understand that ShaadiAffair is a directory, discovery, and promotional platform and does not provide my services to Customers.

☐ I understand that my bookings, payments, cancellations, refunds, and service arrangements are directly between me and my Customers.

☐ I agree to provide Customers with appropriate booking acknowledgment and booking information.

☐ I agree to communicate my booking, cancellation, refund, and service terms clearly to Customers.

☐ I understand that paid promotional placement does not constitute endorsement, recommendation, verification, or guarantee by ShaadiAffair.

☐ I agree to comply with applicable laws and the ShaadiAffair platform rules.
